NEW YORK, Dec 20 (Reuters) - Forest products company Potlatch Corp. (PCH) said on Tuesday its board approved a plan to convert the company to begin operating as a real estate investment trust, or REIT, effective Jan. 1, 2006.
Potlatch said it will increase authorized shares to 100 million from the current 40 million. It also said it will pay aspecial earnings and profits distribution of between $440 million and $480 million in cash, stock, or both, with the aggregate cash payment to be capped at 20 percent. The special earnings and profits distribution is expected to occur in the first quarter of 2006, as originally announced.
The Spokane, Washington-based company said it expects to pay its first quarterly distribution as a REIT of 65 cents per share by the end of February.
